END USER LICENSE AGREEMENT EULA

End User License Agreement
This is a legal agreement, between you Licensee, the recipient of the enclosed Software on USB Flash Memory Drive, MP3 player, compact disc, diskette or any other media and any upgrades thereof, and CoSoSys SRL (CoSoSys), the Vendor.

BY OPENING THE SEALED SOFTWARE PACKAGE AND/OR USING THE SOFTWARE YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US AND SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, BOTH ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT. YOU FURTHER AGREE THAT IF COSOSYS SRL IS REQUIRED TO ENGAGE IN ANY PROCEEDING, LEGAL OR OTHERWISE, TO ENFORCE ITS RIGHTS UNDER THIS AGREEMENT, COSOSYS SRL. SHALL BE ENTITLED TO RECOVER FROM LICENSEE, IN ADDITION TO ANY OTHER SUMS DUE, REASONABLE ATTORNEY FEES, COSTS AND DISBURSEMENTS.

License Agreement
This license grants the Licensee a limited, nonexclusive license that permits you to...
1. Install this software on ONE USB Flash Memory Drive or MP3 player.

You are not permitted to...
1. Make modifications to any portion of this software product.
2. Merge this software product or any portion of it into another program or product.
3. Decompile, reverse engineer, disassemble, or otherwise reduce the software to a human-perceivable form.
4. Rent, lease, loan, distribute or create derivative works based in whole, or in part, upon the software.
5. Copy the software, except as an essential step in its use in conjunction with a USB Flash Memory Drive or MP3 Player as permitted above, or for backup or archival purposes.

End User Support
End user support for this software product and upgrades thereof is provided directly by CoSoSys. Please consult the user registration and upgrade materials included with the software documentation for further information. If you have received the software as a full/unrestricted version via a third party such as an independent manufacturer, the end user support can also be provided in full or in part by the independent manufacturer. Please consult support@cososys.com if not specified clearly in the product package or documentation.

Copyright
All intellectual property rights in the software product and end user documentation are owned by CoSoSys and are protected by Romanian copyright laws and international treaty provisions. CoSoSys retains all rights not expressly granted.

Limited Warranty and Limitation of Liability
CoSoSys warrants the media on which the software is furnished to be free of defects in materials and workmanship under normal use for a period of thirty (30) days from the date of shipment.
Purchasers exclusive remedy shall be the replacement of defective media that is returned to CoSoSys.

CoSoSys does not warrant that the operation of the program will meet your requirements or that the operation of the software will be uninterrupted, be error free, or that defects in software will be corrected. The program is provided 'AS IS' without warranty of any kind. The entire risk as to the quality and performance of the program is with the purchaser. If the program proves defective or inadequate, purchaser assumes the entire cost of servicing or repair. No oral or written information or advice given by a CoSoSys representative shall create a warranty or in any way increase the scope of this warranty.

COSOSYS MAKES NO OTHER WARRANTY, EITHER EXPRESSED OR IMPLIED, WITH RESPECT TO THIS PRODUCT. COSOSYS SRL SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

THE REMEDIES PROVIDED HEREIN ARE PURCHASERS SOLE AND EXCLUSIVE REMEDIES. UNDER NO CIRCUMSTANCES (INCLUDING NEGLIGENCE), SHALL COSOSYS BE LIABLE FOR ANY LOST PROFITS, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF COSOSYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL COSOSYS TOTAL LIABILITY FOR DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

Export Law Assurances
You agree to comply with all export laws, regulations and restrictions of Romania and the European Union.

Controlling Law
This license shall be governed by and construed in accordance with the laws of Romania.

Termination
This license and your right to use this software shall automatically terminate if you fail to comply with any provision of this license and warranty agreement.
